Cobnect Terms of Use

Welcome to Cobnect (“Cobnect Inc.”, “Cobnect”, “we”, “us”, or “our”). These Terms of Use (“Terms”) govern your access to and use of Cobnect’s website located at www.cobnect.com, web and mobile applications, including the Cobnect app, dashboards, reports, and all related services and content (collectively, the “Services”).

By accessing or using the Services, you (“User”, “you”) acknowledge that you have read, understood, and agree to be bound by these Terms and Cobnect’s Privacy Policy, incorporated herein by reference (collectively, the “Agreement”). If you are using the Services on behalf of a business or organization, you represent that you have authority to bind that entity, and references to “you” include that entity.

If you do not agree to these Terms in their entirety, you must immediately cease accessing or using the Services.

1. About Cobnect

Cobnect Inc. is a Canadian technology company providing web-based tools that, with the help of AI and machine learning, help homeowners and professionals evaluate and improve residential home performance in terms of energy, comfort, and sustainability indicators and, where requested, connect with contractors, suppliers, utilities, and incentive programs. Cobnect is not affiliated with or an official representative of NRCan, EnerGuide, or any government body. Reports are not official EnerGuide ratings and may not qualify for programs requiring on-site audits.

2. Eligibility

To use the Services, you must: (a) be at least 18 years of age or the age of majority in your province or territory, whichever is greater; (b) have the legal capacity to enter into a binding contract under applicable law; (c) if using the Services on behalf of a business, organization, municipality, or other legal entity, be duly authorized to bind that entity to this Agreement; and (d) comply with all applicable federal, provincial, and municipal laws and regulations.

3. Account Responsibilities

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to provide accurate, current, and complete account information and to promptly update it as needed. You must notify Cobnect immediately of any unauthorized access, suspected compromise, or security incident involving your account. Cobnect is not responsible for losses arising from unauthorized account access caused by your failure to safeguard your credentials, devices, email account, or authentication methods. Cobnect may suspend or restrict access where it reasonably believes an account has been compromised, misused, or used in breach of these Terms.

4. Use of the Services

You must not: (a) use the Services for unlawful, fraudulent, or harmful purposes; (b) scrape, harvest, or benchmark the Services or reports; (c) perform load, penetration, or security testing without our prior written consent; (d) introduce malware or harmful code; (e) circumvent security or access controls; (f) use the Services for high-risk activities where failure could cause injury, death, or environmental harm; (g) access or use the Services to build or train a competing product or model; (h) use any Cobnect report, output, or estimate as a representation of a property’s official energy rating, certified performance level, or regulated professional assessment in any real estate listing, mortgage application, legal proceeding, or government program submission without independent professional verification and appropriate attribution; (i) publicly represent, in marketing or otherwise, that a Cobnect report constitutes an EnerGuide assessment, a home inspection, a building code compliance certificate, or equivalent official certification; (j) access the Services using automated scripts, bots, crawlers, or any non-human means without Cobnect’s prior written consent; or (k) use the Services in any manner that could damage Cobnect’s reputation, brand, or legal standing. Cobnect may suspend, restrict, or terminate access if it reasonably believes that you have misused the Services, breached these Terms, created legal or security risk, or used the Services in a way that may harm Cobnect, other users, or third parties.

5. Reports and Data Accuracy

(a) Sources and Methodology: Cobnect’s scores, reports, benchmarks, flags, recommendations, estimates, classifications, and other outputs are generated using a combination of user-submitted information, available property data, modelled assumptions, artificial intelligence, machine learning, statistical methods, and public, open-source, licensed, and third-party datasets.

(b) Estimates and Limitations: All Cobnect outputs are estimates only and may be incomplete, inaccurate, approximate, or unavailable. Outputs may be affected by missing or incorrect information, uncertain building characteristics, software or model limitations, data gaps, geographic coverage limitations, third-party data errors, modelled assumptions, or changes to Cobnect’s data sources, methodology, or technology. Cobnect does not guarantee that any report, score, benchmark, flag, estimate, recommendation, classification, or other output will be accurate, complete, current, error-free, or suitable for any particular purpose.

(c) Asset-Based Virtual Assessment: Cobnect’s outputs are asset-based virtual estimates intended to assess a home’s performance based on its structure, systems, location, and modelled operating conditions. They are not intended to reflect or predict actual occupant behaviour, actual household energy use, actual utility bills, actual operating costs, contractor findings, official energy-audit results, government-program determinations, property value, resale value, insurance outcomes, lending decisions, or compliance with legal, regulatory, building-code, or program requirements. Cobnect outputs are not a substitute for an on-site inspection, official EnerGuide evaluation, engineering assessment, licensed contractor assessment, appraisal, legal advice, financial advice, or other professional service.

(d) Model Changes: Cobnect may update, retrain, recalibrate, modify, suspend, or replace its models, benchmarks, scoring methods, assumptions, data sources, report formats, and features at any time. As a result, reports generated at different times may produce different outputs for the same or similar properties.

(e) Reliance and User Responsibility: You must not rely on Cobnect outputs as the sole basis for buying, selling, pricing, financing, insuring, renovating, leasing, appraising, certifying, marketing, or making any legal, engineering, construction, safety, rebate, grant, loan, code-compliance, or investment decision relating to a property. Cobnect does not guarantee that any output will be accepted or relied upon by any government program, lender, insurer, appraiser, real estate board, brokerage, contractor, utility, municipality, regulator, or other third party. You are responsible for reviewing all outputs carefully, verifying relevant information independently, and obtaining appropriate professional advice, on-site inspections, licensed contractor assessments, engineering advice, legal advice, financial advice, on-site energy audits, or government-program guidance where required. To the maximum extent permitted by applicable law, Cobnect shall not be liable for any loss, damage, cost, or consequence arising from your use of or reliance on any Services Output, including but not limited to losses arising from renovation decisions, property transactions, financial applications, or program eligibility determinations.

6. Professional Disclaimer

The Services are not a substitute for, and do not constitute: (a) a professional on-site energy audit, energy assessment, or engineering services provided by a qualified professional; (b) an official EnerGuide or NRCan assessment or program application; (c) advice from a licensed professional engineer, certified energy advisor, registered home inspector, or other regulated professional; (d) real estate advice, property valuation, or any opinion regulated under the Real Estate and Business Brokers Act, 2002 (Ontario) or any successor legislation; (e) financial, investment, or mortgage advice of any kind; or (f) a determination of eligibility for, or application to, any government rebate, incentive, loan, or grant program, which may require official on-site certification or other program-specific requirements.
You use the Services entirely at your own discretion and risk. Cobnect strongly recommends that you consult qualified professionals before making any renovation, real estate, financial, or compliance decision. Also, the Services are not designed to identify urgent safety hazards, structural defects, mould, asbestos, radon, gas leaks, electrical hazards, fire risks, water damage, pest issues, foundation defects, or code violations.

7. Payments and Subscriptions

If you purchase reports, subscriptions, or premium features, you agree that: (a) all prices are stated in Canadian dollars (CAD) and are exclusive of applicable taxes unless otherwise stated. Applicable federal and provincial taxes, including HST where applicable, will be added at checkout; (b) payments are processed by Cobnect’s authorized third-party payment processors. Cobnect does not store complete payment card details. You agree to the payment processor’s applicable terms and conditions; (c) subscriptions auto-renew at the then-current rate unless you cancel before renewal via your account settings or by contacting support; (d) prices may change prospectively with notice; (e) free trial periods, if offered, convert automatically to paid subscriptions unless cancelled before the trial ends. No charges will be made during the trial period; and (f) except where required by applicable law or Cobnect’s posted refund policy, fees paid for reports, subscriptions, and premium features are non-refundable. Nothing in these Terms limits any non-waivable consumer rights that may apply. Cobnect may suspend or restrict access where a payment is declined, reversed, disputed, charged back, fraudulent, or overdue, subject to applicable law.

8. Intellectual Property

(a) All content, reports, outputs, scoring methods, algorithms, models, prompts, datasets, benchmarks, designs, logos, software, trademarks, and other intellectual property belong to Cobnect Inc. or its licensors. You receive a limited, non-exclusive, non-transferable licence to use the Services for your personal use, internal business use, or other Cobnect-authorized professional, client-related, municipal, organizational, portfolio, program-related, or business use, subject to these Terms and any applicable business agreement. (b) You may not resell, sublicense, publicly post, scrape, benchmark, white-label, rebrand, modify, or commercially distribute the reports except through a Cobnect-authorized feature, approved plan, or separate written agreement. (c) You may not use Cobnect’s name, logo, trademarks, or service marks in any marketing materials, public statements, property listings, or other external communications in a manner that implies endorsement, certification, or official affiliation without Cobnect’s prior written consent. (d) Realtors, home inspectors, contractors, energy professionals, brokerages, municipalities, public-sector entities, utilities, nonprofits, housing organizations, community organizations, and other business or institutional users may order or use Cobnect reports for a client, customer, property owner, buyer, seller, resident, participant, program applicant, building portfolio, service area, community program, or other third party only where they have appropriate authority, consent, engagement, contractual permission, program-related authorization, listing-related authorization, inspection-related authorization, municipal or organizational mandate, or another lawful basis to submit the relevant property information and use the Services for that property. White-label, co-branded, brokerage, home-inspection, API, embedded, bulk, enterprise, municipal, utility, nonprofit, community-program, portfolio, or commercial resale use is permitted only under a written business agreement, approved plan, or Cobnect-authorized feature and may be subject to additional terms, attribution rules, disclaimers, usage limits, pricing terms, privacy requirements, data-processing terms, and branding guidelines.

9. User Content and Data Accuracy

(a) You may submit, upload, transmit, or otherwise provide information, data, and content to Cobnect, including account information, property addresses, building characteristics, photographs, documents, comments, preferences, listing information, utility-related information, and other materials (collectively, “User Content”).
You retain any ownership rights you may have in your User Content. By providing User Content to Cobnect, you grant Cobnect a non-exclusive, worldwide, royalty-free licence to collect, access, use, reproduce, host, store, process, analyze, transmit, display, and create reports, analyses, predictions, and other outputs derived from the User Content, to the extent reasonably necessary to:
• provide, operate, maintain, secure, support, and improve the Services;
• generate reports, scores, predictions, benchmarks, recommendations, and other outputs;
• troubleshoot, test, validate, develop, and improve Cobnect’s models, systems, products, services, and features;
• communicate with you regarding the Services;
• comply with applicable legal, regulatory, tax, accounting, security, fraud-prevention, and record-keeping obligations; and
• enforce these Terms and exercise Cobnect’s rights and remedies under them.
Cobnect’s collection, use, and processing of personal information will be governed by the Privacy Policy.

(b) You represent and warrant that:
• your User Content is accurate, current, lawful, and not misleading;
• your User Content does not infringe, misappropriate, or otherwise violate any third party’s intellectual property, privacy, publicity, contractual, confidentiality, or other rights; and
• you have obtained all rights, permissions, consents, notices, and authority necessary for Cobnect to collect, use, process, and disclose the User Content as described in these Terms and the Privacy Policy.
(c) You are solely responsible for your User Content and for all consequences arising from submitting or providing User Content that is incomplete, inaccurate, outdated, misleading, unauthorized, unlawful, or otherwise in breach of these Terms.

10. Third-Party Links and Integrations

Where the Services include referrals to, or connection with, contractors, suppliers, retrofit service providers, or rebate programs (“Third-Party Service Providers“), Cobnect acts solely as a referral platform and does not represent, warrant, endorse, or guarantee the quality, safety, licensing, pricing, or conduct of any Third-Party Service Provider. Any engagement with a Third-Party Service Provider is a separate contract between you and that provider. Cobnect is not a party to any such engagement and, to the fullest extent permitted by applicable law, is not responsible or liable for any third-party acts, omissions, products, services, advice, pricing, workmanship, eligibility decisions, or outcomes.

11. Disclaimers and Limitation of Liability

(a) To the fullest extent permitted by applicable law, the Services are provided on an “as is” and “as available” basis without warranty of any kind. Cobnect expressly disclaims all warranties, whether express, implied, or statutory, including but not limited to warranties of merchantability, fitness for a particular purpose, title, accuracy, completeness, or non-infringement.

(b) In no event shall Cobnect Inc. or its directors, officers, employees, agents, licensors, or affiliates be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including without limitation lost profits, loss of data, business interruption, reputational harm, or cost of substitute services, arising out of or in connection with your use of or inability to use the Services, even if Cobnect has been advised of the possibility of such damages.

(c) Without limiting the foregoing, Cobnect expressly excludes all liability for: (i) losses arising from renovation, retrofit, or construction decisions made in reliance on Report Outputs; (ii) losses arising from real estate purchase, sale, or financing decisions made in reliance on Report Outputs; (iii) failure to qualify for any government rebate, incentive, or financing program; (iv) losses arising from the acts or omissions of any Third-Party Service Provider; or (v) losses arising from inaccurate or incomplete information submitted by you.

(d) To the fullest extent permitted by applicable law, Cobnect’s total aggregate liability for all claims arising out of or relating to the Services, these Terms, or any report, output, or transaction will not exceed the greater of: (i) the amount you paid to Cobnect for the specific paid Service giving rise to the claim in the six months before the event giving rise to liability; or (ii) CAD $100. The limitations in this section do not limit liability that cannot legally be limited or excluded.

12. Indemnification

You agree to defend, indemnify, and hold harmless Cobnect Inc. and its directors, officers, employees, agents, licensors, and affiliates (collectively, “Cobnect Parties“) from and against any and all third-party claims, actions, demands, losses, liabilities, damages, fines, penalties, costs, and expenses (including reasonable legal fees and costs of investigation) arising out of or in connection with: (a) your use or misuse of the Services; (b) your breach or alleged breach of these Terms; (c) your violation of any applicable law or regulation; (d) your infringement of any third-party intellectual property right; or (e) the inaccuracy, incompleteness, or unlawfulness of any information you submit through the Services.

Cobnect reserves the right, at its own expense, to assume the exclusive defence and control of any matter subject to indemnification by you, in which case you agree to cooperate fully with Cobnect’s defence of such matter.

13. Termination

Cobnect may suspend, restrict, or terminate your access to all or part of the Services at any time if Cobnect reasonably believes that: (a) you breached these Terms; (b) your account has been compromised; (c) your use creates legal, security, operational, reputational, or financial risk; (d) you failed to pay amounts when due; (e) you violated applicable law or third-party rights; or (f) suspension or termination is necessary to protect Cobnect, users, third parties, or the Services.

Termination does not relieve you of payment obligations incurred before termination. Sections relating to intellectual property, user content, report restrictions, data rights, disclaimers, limitation of liability, indemnification, confidentiality, governing law, and any provisions intended to survive will survive termination.

14. Force Majeure

Cobnect is not liable for delay or failure to perform due to events beyond its reasonable control, including natural disasters, epidemics, war, acts of terrorism, civil unrest, labour disputes, internet infrastructure failures, cyberattacks or data security incidents outside Cobnect’s reasonable control, acts of government or regulatory authority, or failure of third-party platforms, cloud infrastructure (including AWS), or payment processors.

15. Changes to the Terms

Cobnect may update these Terms from time to time. The updated Terms will be posted with a new effective date. Where required by applicable law or where changes are material, Cobnect may provide additional notice, such as email, in-app notice, website notice, or checkout notice. Your continued use of the Services after updated Terms become effective constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Services.

16. Reverse Engineering, Competitive Use, and Confidentiality

(a) You must not reverse engineer, decompile, disassemble, derive, infer, reconstruct, or attempt to discover Cobnect’s software, source code, algorithms, models, prompts, formulas, scoring methods, datasets, benchmarks, workflows, system architecture, or non-public business information.

(b) You must not use access to the Services, reports, outputs, documentation, or non-public information to build, train, test, benchmark, improve, market, finance, or validate a competing product, model, service, platform, dataset, or business.

(c) You must not disclose, publish, or misuse any non-public information about Cobnect’s systems, datasets, models, business operations, pricing, customers, technical infrastructure, or product roadmap obtained through the Services or business discussions.

(d) Unauthorized use constitutes a material breach of these Terms and may cause irreparable harm to Cobnect. Cobnect may seek injunctive relief, damages, and any other remedies available at law or equity.

17. Governing Law and Jurisdiction

These Terms and any dispute arising out of or relating to the Services are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. Subject to any non-waivable rights you may have under applicable consumer protection laws, you agree that the courts located in Toronto, Ontario will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Services, unless Cobnect and you agree in writing to binding arbitration or another dispute-resolution process.

18. General

These Terms, together with the Privacy Policy and any applicable order form, business agreement, API terms, refund policy, or supplemental terms, form the entire agreement between you and Cobnect regarding the Services and supersede all prior or contemporaneous agreements, communications, and understandings regarding the Services. If any provision of these Terms is found to be invalid, illegal, or unenforceable, that provision will be limited, modified, or severed to the minimum extent necessary, and the remaining provisions will remain in full force and effect. Cobnect’s failure to enforce any provision of these Terms is not a waiver of its right to do so later. You may not assign or transfer these Terms without Cobnect’s prior written consent. Cobnect may assign or transfer these Terms in connection with a merger, acquisition, financing, restructuring, sale of assets, corporate transaction, or by operation of law. Nothing in these Terms creates a partnership, joint venture, employment, agency, fiduciary, or franchise relationship between you and Cobnect. Headings are for convenience only and do not affect interpretation.
